Candidate Code of Conduct for TAGDV 2025 Election

Introduction This Code of Conduct for TAGDV 2025 Election has been produced for all candidates in the TAGDV elections in order to assist the smooth running of all stages of the process. The Code has been created based on TAGDV bylaws and in accordance with TAGDV election needs and will be updated in due course. The Code Contact with members eligible to vote in the elections must not be carried out in a manner likely to cause offence or be seen as applying pressure to any member regarding how they vote at any stage during the process. Candidates are reminded of their obligations for the privacy and protection of personal information under the U.S. Privacy Act. Use any information collected for election purposes only. Only the Chairperson of the TAGDV Election Committee, Anbu Natesh, is authorized to issue statements about any aspect of the election procedure. No candidate or member acting on his or her behalf shall interfere with or put under duress any member regarding how they vote at any stage during the process. Avoid negative campaigning and personal attacks. Any candidate, supporter, or member breaching this Code of Conduct or knowingly allowing others to do so on his or her behalf will be liable for action. Historic Milestone Achieved: TAGDV Bylaw Amendment Successfully Passed!

  It is with great pride and immense satisfaction that TAGDV announces a historic achievement for our organization: the successful passage of our bylaw amendment. This milestone represents a significant step forward in strengthening the governance and foundation of our association and Tamil community. Overwhelming General Body Participation We are deeply encouraged by the exceptional level of member engagement in this process. The voting results demonstrate our community's commitment to TAGDV's future: Total eligible voters: 1,318 adult members Total votes cast: 507 members (unprecedented participation!) "Yes" votes: 378 members (74.56% approval) This enthusiastic response from our membership has enabled us to successfully pass the bylaw amendment with a clear and decisive majority, well exceeding the required two-thirds approval threshold. A Transparent and Compliant Bylaw Amendment Process TAGDV is pleased to report that all existing bylaw requirements were meticulously followed throughout this process: Advance notice: Final amendment document was sent to members at least 14 days prior Quorum requirements: More than one-third of the active members participated Approval threshold: The necessary two-thirds approval votes was achieved The process began with the first bylaw draft presentation to general body members on December 7, 2024. Since then, the amendment has undergone thorough review with General Body members across multiple sessions, ensuring comprehensive discussions and thoughtful refinements. After the mandatory 14-day review period, the amendment was submitted to the General Body for final voting, resulting in today's successful outcome. Please click here for the voting results. TAGDV extends heartfelt appreciation to the Bylaw Committee for their tireless dedication and meticulous work throughout this important process. We also thank all General Body members for providing valuable feedback which helped refine and shape the amendment, and for their active participation in the voting process. Your collective engagement has strengthened our organization's foundation of transparency, accountability, and strong leadership. Next Steps The newly amended Bylaws have been published on the TAGDV website for all members to access. Additionally, a copy of the amended bylaws will be submitted to the IRS as required.

Illegal 2023 Bylaw Amendment Process and Violations

Illegal 2023 Bylaw Amendment Process and Violations The attempt to amend the bylaws of our organization on April 29, 2023 was conducted in a manner that flagrantly violated multiple provisions of the current governing bylaws. Amending the bylaws, which is the governing document outlining membership rights and organizational procedures, requires meticulously following the process prescribed by both state nonprofit law and the organization's own bylaws. Attempting to circumvent or ignore those requirements renders any purported amendments void and illegal. Specifically, the bylaw amendment process on April 29th violated the organization's bylaws in several ways: The final amendment document was shared only on April 27, 2023 at 12:11 AM, a mere 2 days before the scheduled vote on April 29th. This patently violates Section 8.2 of the bylaws which mandates 14 days advance written notice of any proposed bylaw amendments. The voting on amendments did not occur at a properly called General Body meeting, violating Section 8.2's requirement that bylaw changes must be approved at a meeting of the general membership. The invitation for the purported "special" General Body meeting was sent only 2 days in advance on April 27th. Section 10.1 of the bylaws requires a minimum 2 weeks' advance notice for any special meeting of the membership. According to statements, 235 valid votes were counted on April 29th. This falls drastically short of achieving the quorum requirements outlined in the bylaws for holding a valid meeting of the general membership to approve bylaw changes. Amending an organization's bylaws, which dictates membership rights, operating rules, and governs the nonprofit corporation, requires strict adherence to stipulated procedures. The flagrant violations of advance notice, voting location, quorum, and approval requirements render the alleged April 29th "amendments" null and void from inception. They were enacted through an illegal process in contravention of the organization's bylaws. No individual member or faction holds unilateral authority to simply discard the current governing bylaws and replace them through an improper amendment procedure that fails to follow stipulated requirements. The General Body is the ultimate authority over bylaw changes per the organization's bylaws and state nonprofit law. Any purported new bylaws enacted through April 29th's flawed process have no legal force or effect. Moving forward, the current TAGDV governing body and its members are committed to following proper amendment procedures that respect the rights of all through a fully transparent and legally valid process strictly adhering to the requirements outlined in the current, properly ratified organizational bylaws.
